01Who we are

Uffici AI, LDA is a company incorporated in Portugal, based in Porto. Questions about these terms go to [email protected].

02The Services

Uffici provides AI agents for small offices and teams. Agents work inside a workspace your organization controls: they read the material you give them, draft and carry out work under your supervision, and keep a record of what they do.

The Services are in active development. Parts may be offered as early access, and features may change, improve, or be withdrawn as the product takes shape.

03Your account

You must be at least 18 years old and provide accurate information when you register.

Keep your credentials — your password and any keys the Services issue to you — confidential. You are responsible for activity under your account; tell us promptly if you suspect unauthorized access.

Organizations have roles. Owners and administrators act for the organization: they can manage its members, agents, integrations, and data, including deleting it.

04Your content

You retain all rights to the content you and your team put into the Services — instructions, conversations, files, tables, and boards (“Content”). To the extent Uffici holds any rights in what your agents produce from your Content, we assign them to you.

You grant us the licence we need to run the Services: to host, process, transmit, and display Content in order to provide and secure the Services, as described in the Privacy Policy. We claim no other rights over it.

You are responsible for your Content — for having the rights to what you upload and connect, and for making sure your use of it, including any personal data your organization processes in the workspace, complies with the law.

05AI output

Agents generate content with AI models. AI output can be wrong, incomplete, or misleading, even when it sounds confident. The Services are built around supervision — an agent proposes, you review and approve — and you are responsible for what you approve and for how you use output.

Output is not professional advice. Do not treat it as legal, medical, financial, or other regulated advice.

06Acceptable use

You agree not to:

• use the Services for unlawful ends, or to create or spread content that is illegal, infringing, or deceptive;
• violate others’ rights, including privacy and intellectual property;
• send spam or unsolicited messages through agents or integrations;
• probe, breach, or test the security of the Services without authorization — responsible disclosure through our security.txt is welcome;
• interfere with the Services, circumvent usage limits or metering, or access the Services by any means other than the interfaces we provide;
• resell or provide the Services to third parties without our agreement.

We may suspend accounts that put the Services or other customers at risk.

07Integrations and third-party services

The Services can connect to third-party services your organization already uses. Those connections run on your credentials and your instructions, and the third party’s own terms govern them. We are not responsible for third-party services, and you can disconnect them at any time.

08Fees

The Services are currently offered without charge while in early access. Plans include usage limits — on agents, members, storage, and compute — and we may enforce them.

We may introduce paid plans. If we do, we will tell you the pricing before you owe anything, and continued use of a paid feature after notice will require a subscription.

09Our intellectual property

The Services — the software, the design, the Uffici name and marks — belong to us or our licensors. These terms give you a right to use the Services, not a licence to the software or the brand beyond that use.

Feedback is welcome. If you send us suggestions, we may use them without obligation to you.

10Privacy

How we handle personal data is described in the Privacy Policy, which is part of your agreement with us.

11Availability and changes

We work to keep the Services available, but during early access we do not promise uninterrupted service or any particular availability level. We may change or discontinue features; where a change materially reduces the Services, we will give notice reasonable in the circumstances.

12Suspension and termination

You can stop using the Services at any time, and an organization’s owner can close its account. On closure, we delete the organization’s Content as the Privacy Policy describes.

We may suspend or terminate access if you materially breach these terms, if the law requires it, or if the Services are being used in a way that risks harm to Uffici, other customers, or third parties. Where reasonable, we will warn you first and give you a chance to fix the problem.

13Disclaimers

The Services are provided “as is” and “as available”. To the extent the law allows, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Services or any AI output will be error-free.

14Limitation of liability

To the extent the law allows, Uffici is not liable for indirect or consequential loss — lost profits, lost data, loss of business — and our total liability for all claims in any twelve-month period is limited to the greater of the amounts you paid us for the Services in that period and €100.

Nothing in these terms excludes liability that cannot be excluded under Portuguese law, including for wilful misconduct or gross negligence, or limits the rights consumers hold under mandatory law.

15Governing law and disputes

These terms are governed by Portuguese law, and disputes go to the courts of Porto, Portugal — unless you use the Services as a consumer in the European Union, in which case you keep the protections and forum rights your country of residence’s mandatory rules give you.

16Changes to these terms

We may update these terms as the Services evolve. We will post the new version here with an updated date and, for material changes, tell account holders by email or in the product before they take effect. If you keep using the Services after a change takes effect, the new terms apply.
